KBRwyle Acquisition Completed, Transition is Underway

On July 5, KBR acquired Wyle Inc., a government services company that specializes in engineering, professional, scientific, and technical services, primarily to the U.S. federal government. KBR's acquisition of Wyle is part of the overall business improvement strategy laid out in December 2014.

Rebranded as KBRwyle, the business is playing an important role in KBR's goal to expand opportunities across the business going forward.

"KBRwyle combined with our existing Government Services offerings provides us with broader and more differentiated offerings for a growing market. Our expanded capabilities create additional synergies between our businesses, specifically between the project and program management skills in Engineering & Construction and Government Services providing further opportunity to transfer personnel between the two," continued Bradie.

KBRwyle's current focus is on the U.S. market while KBR's is primarily outside of the U.S. This means there is very little to no overlap between the current offerings of KBR and KBRwyle, allowing for expanded services across the full spectrum of government requirements while leveraging existing customer relationships as well as new opportunities across all regions utilizing KBR's global capabilities.

KBR and KBRwyle have similar cultures with a strong emphasis on people and empowering employee decision making close to our customers. As transition efforts continue, there will also be a strong emphasis on Zero Harm and creating a One KBR culture across the entire business.

KBRwyle employs approximately 4,000 employees at 50-plus locations across the U.S serving clients including the U.S. Department of Defense, Department of Homeland Security, NASA, NOAA, and the European Space Agency.

KBRwyle is led by Roger Wiederkehr, who was CEO and President of Wyle and also previously held several senior executive positions within Wyle, including Chief Operating Officer managing the operations of Wyle's business units and the execution of company strategy.

KBRwyle's three business units – Aerospace, CAS, and Science, Technology, and Engineering (ST&E) – remain intact, conducting business as KBRwyle and facilitating a seamless transition for both employees and clients.

 

The Aerospace business unit, based in Lexington Park, Maryland, develops and delivers test and evaluation, sustainment engineering, acquisition management, and mission assurance services and solutions to U.S. Department of Defense and other government organizations.

 

The CAS business unit, based in Huntsville, Alabama, specializes in a full range of weapon system engineering, mission support and analysis services for theater missile defense, air defense, aviation, force protection, surveillance and land-combat systems.

 

The ST&E business unit, based in Houston, provides innovative solutions for life sciences, pilot and health crew training and support, aerospace medicine, scientific services, and specialized engineering.

Less than two months into the transition, KBR and KBRwyle continue focusing on learning from each other, avoiding business disruption, and delivering for our customers. The transition team has completed all critical post-closing and transition activities without any substantial issues.

"There will be further transition-related activities occurring over the course of the remainder of the year and into 2017," said Wiederkehr. "These activities are expected to be as smooth and behind-the-scenes as the ones to-date have been and I want to thank the entire transition team for their tireless efforts to effect a seamless transition."

The addition of KBRwyle is a significant milestone for KBR and fits strategically with and complements KBR's plan to expand its government services offerings.  The addition of KBRwyle's highly specialized technical services combined with KBR's global logistics capabilities, along with the specialized services and customized solutions of soon-to-be acquired Honeywell Technology Solutions, Inc. (HTSI) will propel KBR to the forefront of the government services industry as a leader in high end technical engineering and mission support, logistics, and equipment maintenance and global $2.5 billion Government Services organization with full service capabilities drawing on the best in class capabilities of all organizations.
